Terms of Service

By creating an account you agree to these Terms. Please read them carefully.

1. Acceptance

By registering for or using BMS SUITE ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

BMS SUITE is a cloud-based business management platform providing inventory management, sales, purchases, finance, payroll, production, and related tools. The Service is provided on a subscription basis under various plans.

3. Accounts and Eligibility

You must be at least 18 years old and authorised to enter contracts on behalf of your organisation.
You are responsible for maintaining the security of your account credentials.
You must provide accurate and complete information during registration.
One account per organisation. Sharing accounts between organisations is prohibited.

4. Subscriptions and Payments

Access to paid features requires an active subscription.
Subscription fees are charged in advance for the selected billing period.
Prices are listed in TZS and USD. We reserve the right to adjust pricing with 30 days notice.
Payments are non-refundable unless required by applicable law.
Your subscription automatically expires at the end of the billing period unless renewed.

5. Lifetime Licence Packages

In addition to monthly and annual subscriptions, we offer lifetime licence packages. A lifetime licence is a one-time purchase of the right to use BMS SUITE for as long as the product is offered. Hosting and maintenance are provided as set out below.

5.1 Lifetime Tier 1

18 months of free hosting and zero maintenance cost, starting on the date of activation.
Some new features released after purchase may be offered as add-ons, available for an additional fee, and are not automatically included in the package.
After the 18 months, a hosting and maintenance fee of USD 50 is payable quarterly.

5.2 Lifetime Tier 2

24 months of free hosting and zero maintenance cost, starting on the date of activation.
After the 24 months, the same terms as Lifetime Tier 1 apply, including the quarterly hosting and maintenance fee and the treatment of new features as add-ons.

5.3 Customisation

Customisation of the software to your specific needs is not included in any package. Its cost depends on your requirements and is agreed in writing before work begins.

5.4 Quarterly fee

The quarterly hosting and maintenance fee is subject to change based on our cost of operations and maintenance. We will give you at least 30 days written notice of any change.
If the fee is not paid when due, we may suspend hosting and maintenance for your account after reasonable written notice. Your data remains yours, and we will make it available for export during a reasonable period after suspension.

6. Self-Hosted (Full Sale) Licence

Where you purchase the software outright and run it on your own server, the following terms apply in addition to the rest of these Terms:

You manage and are responsible for your own server, hosting, backups and security.
Your licence covers use of the software by your own organisation only. You do not have the right to distribute, sell, sublicense, share or otherwise make the software available to any other person or organisation.
Any breach of this clause entitles BMS SUITE to take legal action, including claims for damages and injunctive relief, and to terminate your licence.
Your IT team will not have access to the source code. The software is delivered in deployable form only.
If you need changes to the software, our team will work with you to make them under a separately agreed fee for service.

7. Changes to Fees

Beyond the quarterly fee described in section 5.4, we may adjust our pricing as described in section 4. Fees already paid for a billing period are not affected by a later change.

8. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any regulations.
Attempt to gain unauthorised access to any part of the Service or its infrastructure.
Reverse-engineer, decompile, or attempt to extract source code.
Upload malicious code, viruses, or disruptive content.
Resell or sublicense access to the Service without prior written consent.

9. Your Data

You retain ownership of all business data you enter into the Service. By using the Service, you grant us a limited licence to store and process that data solely for the purpose of providing the Service to you. See our Privacy Policy for details.

10. Intellectual Property

The Service, including its software, design, and documentation, is owned by BMS SUITE and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service.

11. Limitation of Liability

To the maximum extent permitted by law, BMS SUITE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements.

13. Termination

We may suspend or terminate your account if you breach these Terms or if we have reason to believe your use harms the Service or other users. You may cancel your account at any time.

14. Governing Law

These Terms are governed by the laws of the United Republic of Tanzania. Any disputes shall be resolved in the competent courts of Tanzania.

15. Changes

We may update these Terms. We will notify you by email for material changes. Continued use after the effective date constitutes acceptance of the updated Terms.
